Terms & Conditions for Deployment of Empanelled Professionals. Please read these terms carefully before using the platform or entering into a deployment arrangement.

Definitions

  • "Company": The entity maintaining the panel of professionals.
  • "Client / Organization": The entity where professionals are deployed.
  • "Professional": Individual empanelled with the Company for deployment.
  • "Deployment": Assignment of a professional to a Client for specific work or project.
  • "On-Roll Professional": Professional on Company payroll.
  • "Off-Roll Professional": Professional engaged through Client or third-party payroll.

Empanelment of Professionals

  • The Company shall create and maintain a panel based on qualifications and experience.
  • Background Verification of a candidate, if required, can also be done by the Company on a payment basis.
  • Empanelment does not guarantee deployment.
  • The Company reserves the right to remove any professional from the panel without prior notice for misconduct or non-performance.

Scope of Deployment

  • Deployment shall be project-specific or time-bound.
  • Roles, responsibilities, and deliverables shall be defined in a Work Order / Assignment Letter.
  • The Client shall provide necessary infrastructure and working environment.

Deployment Categories

4.1 On-Roll (Company Payroll) On-Roll

  • Salary, statutory benefits, and compliance shall be the responsibility of the Company.
  • The Client shall pay agreed service charges to the Company.
  • The professional shall remain an employee of the Company at all times.
  • In such case, the defaulting party/organization shall deposit two months' salary in advance, which shall be adjusted against the final payment.
  • The authorized officer of the Department/Organization shall submit the duly signed monthly attendance record of the deployed manpower by the 3rd day of each succeeding month.
  • The Company is registered under the MSME Act and shall be entitled to all protections and benefits available thereunder, including provisions relating to timely payment.

4.2 Off-Roll (Client / Third-Party Payroll) Off-Roll

  • The professional may be hired directly by the Client or through a third-party vendor.
  • The Company acts only as a sourcing/empanelment facilitator unless otherwise agreed.
  • All employment liabilities shall lie with the Client/third party.
  • In such case, the Client shall be liable to pay an amount equivalent to one month's salary based on the agreed CTC.

Commercial Terms

  • Rates shall be mutually agreed in writing before deployment.
  • Payments shall be made within agreed timelines (e.g., 15–30 days).
  • Delay in payment may attract interest (e.g., 12%–18% per annum).
  • Taxes (including GST, if applicable) shall be charged extra.

Replacement & Substitution

The Company shall provide replacement within a reasonable time (e.g., 7–15 days) in case of:

  • Non-performance
  • Resignation
  • Misconduct
Replacement shall be subject to availability of suitable professionals in the panel.

Working Hours & Leave

  • Professionals shall follow the Client's working hours and policies.
  • On-Roll: Leave policy as per Company policy.
  • Off-Roll: Leave policy as per Client/third-party policy.
  • Absenteeism may result in proportionate deduction from salary/fees.

Confidentiality & Data Protection

  • Professionals shall sign a Non-Disclosure Agreement (NDA).
  • No confidential information shall be disclosed during or after deployment.
  • Breach shall result in legal action and damages.

Code of Conduct

Professionals must adhere to:

  • Client's workplace policies
  • Ethical and professional standards
Misconduct may lead to immediate termination of deployment without notice.

Compliance with Laws (India)

Applicable labour laws include:

  • Employees' Provident Funds and Miscellaneous Provisions Act, 1952
  • Employees' State Insurance Act, 1948
  • Payment of Wages Act, 1936
  • Contract Labour (Regulation and Abolition) Act, 1970
  • Minimum Wages Act, 1948

Responsibility:

  • On-Roll: The Company ensures statutory compliance.
  • Off-Roll: The Client/third-party ensures compliance.

Non-Solicitation

  • The Client shall not hire or engage the professional directly during deployment and for a period of 6–12 months after completion without prior written consent from the Company.
  • If breached, a buyout fee (e.g., 20%–30% of annual CTC) shall be payable to the Company.

Liability & Indemnity

Each party shall indemnify the other against:

  • Breach of agreement
  • Negligence or misconduct
The Company shall not be liable for indirect or consequential losses arising from the deployment arrangement.

Termination

  • Either party may terminate the deployment arrangement with 15–30 days' written notice.
  • Immediate termination is allowed in case of misconduct, confidentiality breach, or non-payment.
  • All pending dues must be cleared within the timelines specified in the Work Order.

Intellectual Property

  • All work produced during deployment shall belong to the Client unless otherwise agreed in writing.
  • The professional shall have no ownership rights over deliverables created during deployment.

Dispute Resolution

  • Disputes shall be resolved amicably through mutual discussion first.
  • Failing which, arbitration shall be conducted under the Arbitration and Conciliation Act, 1996.
  • Jurisdiction: Courts of the Company's registered office location.

Force Majeure

Neither party shall be liable for delays or failures due to events beyond their reasonable control, including but not limited to:

  • Natural disasters
  • Government restrictions or orders
  • Pandemics or public health emergencies
  • War, civil unrest, or acts of terrorism

Miscellaneous

  • This document forms part of the Master Service Agreement (MSA).
  • Any amendments must be in writing and signed by authorized representatives of both parties.
  • This agreement overrides all prior discussions, representations, and arrangements.
